By accessing or using the licensed product and associated APIs (the “Product”), you agree to comply with and be bound by these Terms of Use. If you do not agree to these terms, please do not use the Product.
Subject to compliance with these Terms, Incidiz grant you a non-exclusive, non-transferable license to use the Product, including the associated APIs, for the duration of the license agreement.
The use of APIs is subject to predefined quotas based on the purchased edition. Exceeding these quotas may result in additional charges or temporary access restrictions.
You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You may not modify, reverse engineer, or create derivative works based on the Product or APIs. Unauthorized use or access to the APIs may result in the termination of your license.
We will provide reasonable technical support and maintenance for the Product. Details regarding support services are outlined in the accompanying API documentation.
Your use of the Product is subject to our Privacy Policy. We take reasonable measures to protect the security and confidentiality of your data.
Fees for the Product are outlined in the pricing agreement. Payment terms and billing details are specified in the invoices provided.
Either party may terminate this agreement upon written notice if the other party breaches a material provision. Termination is without prejudice to any other rights or remedies a party may have.
In no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the Product or APIs.
These Terms are governed by the laws of [Jurisdiction]. Any disputes arising under or in connection with these Terms shall be resolved through arbitration in accordance with the rules of [Arbitration Institution] in [Arbitration Location].
To the maximum extent permitted by law, you must indemnify us (‘Incidiz’), and hold us harmless, against any Liability suffered by us arising from or in connection with your use of our Platform or any breach of this contract or any applicable laws by you. This indemnity is a continuing obligation, independent from the other obligations under this contract, and continues after this contract ends. It is not necessary for us to suffer or incur any Liability before enforcing a right of indemnity under this contract.
